Adit Pay Terms of Use
These Adit Pay Terms (“Payment Terms”) operate in conjunction with the Adit Pay Terms of Service (“Terms of Service”). Collectively, these documents (referred to as the “Terms”) govern your use of Adit Pay's payment processing services, which are provided in partnership with Stripe, Inc. (“Stripe”). By utilizing these services, you agree to be bound by the Terms.
1. Payment Processing Services
Adit Pay provides two categories of payment services:
- Card Present Service: Used for in-person, point-of-sale transactions.
- Card Not Present Service: Used for online or remote transactions.
2. Relationship with Stripe
Adit Pay serves as a facilitator for payment processing services through Stripe. It is important to note that Adit Pay is not a financial institution and does not provide banking services. Adit Pay and Stripe operate as independent entities, and Adit Pay holds no liability for the services provided by Stripe.
3. Definitions
- Card: Refers to any valid payment card, including credit, debit, and prepaid cards (e.g., Visa®, MasterCard®, American Express®, Discover®).
- Cardholder: The individual named on the card or an authorized user of the card.
- Transaction: Any payment processed via Adit Pay’s services.
- Chargeback: A reversal of funds to the cardholder following a transaction.
- Dispute: A challenge to the validity or authorization of a transaction by the cardholder.
4. User Obligations
- Stripe Account: You must maintain a valid Stripe account to access Adit Pay’s payment processing services and agree to comply with Stripe’s applicable terms and conditions.
- Information Sharing: Adit Pay may share information, including personal and financial data, with Stripe to facilitate payment processing.
- Legal Compliance: You are responsible for adhering to all applicable laws, regulations, and industry standards, including the Payment Card Industry Data Security Standards (PCI DSS).
- Security: You are obligated to safeguard all cardholder data stored or processed through your systems. In the event of a data breach, you must notify Adit Pay immediately.
- Authorized Transactions: You are responsible for ensuring that all transactions are authorized by the cardholder and for taking reasonable measures to prevent fraudulent activity.
- Data Retention: You must maintain accurate records of all transactions and ensure the secure storage of cardholder information.
5. Fees and Charges
- Card Present Transactions: 2.25% + $0.20 per transaction.
- Card Not Present Transactions: 2.90% + $0.30 per transaction.
- Payment of Fees: Transaction fees will be deducted automatically from the funds processed through Adit Pay.
- Changes to Fees: Adit reserves the right to modify transaction fees with reasonable notice.
6. Dispute Resolution and Chargebacks
- You are responsible for managing disputes and chargebacks related to your transactions.
- You must cooperate fully with Adit Pay and Stripe in investigating any disputes or chargebacks.
- Failure to address disputes may result in additional fees, limitations on your account, or termination of services.
7. Refunds and Account Balances
- Refunds: You are responsible for funding any customer refunds. Adit Pay reserves the right to deduct refund amounts, along with any applicable fees, from your account balance.
- Negative Balances: If your account balance becomes negative, you must resolve it immediately. Adit Pay may recover the balance by charging the payment methods on file.
- Termination with Negative Balance: If you seek to terminate your services while maintaining a negative balance, Adit Pay will charge the payment methods on file to settle any outstanding amounts prior to offboarding.
8. Equipment Returns and Warranties
- Return Policy: Card readers and payment terminals are eligible for return within 30 days of purchase if they are in their original packaging and unused. Opened or used products are not eligible for return.
- Warranty: Stripe offers a one-year limited warranty for card readers purchased through Adit Pay. If a terminal malfunctions during this period, you are entitled to a replacement.
- Warranty Claims: To initiate a warranty claim, you must contact Adit Pay Support and provide a detailed description of the issue along with any relevant documentation.
9. Adit Pay’s Responsibilities
- Data Management: Adit Pay collects and processes user data in accordance with our Privacy Policy. Data may be shared with Stripe or other third parties as necessary to provide the services.
- Security: While Adit Pay implements security measures to protect user data, no system is completely secure. Adit Pay is not liable for unauthorized access to your data.
10. Disclaimers and Limitation of Liability
- Fraud: Adit Pay is not responsible for fraudulent transactions, unauthorized use of your account, or chargebacks.
- Third-Party Services: The use of third-party services, including those provided by Stripe, is at your own risk. Adit Pay is not liable for any damages arising from third-party services or products.
11. Indemnification
You agree to indemnify, defend, and hold harmless Adit Pay, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of:
- Your use of Adit Pay’s services.
- Any violation of these Payment Terms or applicable laws.
- Any fraudulent or unauthorized transactions processed through your account.
12. Termination of Services
- Immediate Termination: Adit Pay reserves the right to terminate your access to its services immediately if you violate applicable laws or these Terms.
- Failure to Activate: Adit Pay may terminate your account if services are not activated within 45 days of registration.
- Post-Termination Obligations: Upon termination, you must pay any outstanding fees and return any equipment provided by Adit Pay.
13. Acceptance of Terms
By using Adit Pay’s payment processing services, you acknowledge that you have read, understood, and agree to these Payment Terms, as well as the Adit Pay Terms of Service.
